Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the services provided by Rivington Technologies, Inc., a Delaware corporation doing business as Rooga ("Rooga," "we," "us," or "our"), including rooga.ai, our customer dashboard and site editor, and the websites we design, host, and maintain for you (together, the "Service"). By creating an account, subscribing, or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

If you use the Service on behalf of a business, you represent that you're authorized to bind that business to these Terms, and "you" refers to that business.

2. The Service & what your $30/month includes

Rooga takes your existing website and produces an improved redesign, hosts it on our infrastructure, and lets you request ongoing changes. There is no setup fee and nothing to pay up front — you only begin paying when you choose to put your redesigned site live.

Your subscription of $30 per month covers all of the following:

• Hosting and maintenance of your redesigned website. We host your redesigned site on our infrastructure and keep it running — including SSL, security, and platform updates — at no additional charge.
• The chat editor. You can request changes to your site in plain language, without using a page builder.
• The page editor. You can also make changes to your site directly, without using the chat.
• Built-in search optimization for Google and AI assistants. Your pages ship with the structure and markup used by search engines and AI assistants.
• Blog and article publishing. You can draft and publish blog posts and articles on your site.

There are no separate charges for the items above. Third-party costs that are not part of the Service — most commonly your domain registration — are not included and remain your responsibility (see Section 10).

The exact features, design output, and turnaround may vary and evolve over time. We may add, change, or remove features, and we may use automated and AI-assisted tools to produce and update your site. If we make a material change that removes one of the items listed above, you may cancel under Section 5.

3. Accounts

• You must provide accurate information and keep your account details up to date.
• You're responsible for activity under your account and for keeping your sign-in secure.
• You must be at least 18 years old, or the age of majority where you live, to use the Service.
• Notify us promptly at [email protected] if you suspect unauthorized use of your account.

4. Subscriptions, billing & renewals

• Subscription. The Service is sold as a recurring monthly subscription at $30 per month, which includes everything listed in Section 2 — hosting and maintenance, the chat editor, the page editor, search optimization for Google and AI assistants, and blog and article publishing. There is no setup fee and no contract or minimum term. The price shown at checkout applies to your subscription.
• Billing. Payments are processed by our payment provider, Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
• Auto-renewal. Your subscription renews automatically each billing period unless you cancel before the renewal date.
• Price changes. We may change pricing; we'll give you reasonable notice before a change affects you, and it takes effect at your next renewal.
• Taxes. Prices may exclude applicable taxes, which you're responsible for.
• Failed payments. If a charge fails, we may retry, suspend, or take your hosted site offline until payment is resolved.

5. Cancellations & refunds

You can cancel your subscription at any moment, for any reason, from your dashboard or by contacting us at [email protected]. There is no contract, no minimum term, no notice period, and no cancellation or early termination fee. You do not need our approval, and we will not ask you to justify the decision.

Cancellation stops future renewals. You keep access to the Service through the end of the billing period you have already paid for; it doesn't retroactively refund the current period unless we say otherwise. When your subscription ends, we may take your hosted site offline and stop providing the Service. Your domain and Your Content remain yours (see Section 6), but the redesigned site itself does not: we have no obligation to hand off its code or files to you, and we will not do so (see Section 7). Except where required by law, payments are non-refundable. If you believe you were charged in error, contact [email protected].

6. Your content and your existing website

"Your Content" means the website, text, images, logos, and other materials you provide or that we collect from your existing site at your direction so we can build and run your site.

• Ownership. You keep ownership of Your Content.
• License to us. You grant us a worldwide, non-exclusive license to host, store, reproduce, modify, adapt, publish, and display Your Content as needed to operate and provide the Service — including redesigning it and processing it through our vendors and AI tools.
• Your responsibility. You represent that you own or have the rights to Your Content and to the website you ask us to redesign, and that our use of it as described won't infringe anyone's rights or break the law.

7. The redesigned site we deliver

Ownership. The redesigned site is delivered as a hosted service, not as a work product you purchase. We own the site implementation we create for you — including its HTML, CSS, JavaScript, templates, components, page structure, design and source files, build tooling, configuration, repositories, and backups (the "Site Implementation"). Your Content is separate from the Site Implementation and stays yours under Section 6.

Your license. While your subscription is active and in good standing, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use and publicly display the Site Implementation as your website, as hosted by us through the Service. This license does not include any right to copy, export, redistribute, resell, or host the Site Implementation yourself or through another provider.

No handoff when your subscription ends. That license ends when your subscription ends. We have no obligation to hand off, deliver, export, package, transfer, or otherwise provide the Site Implementation — including HTML, CSS, JavaScript, templates, design or source files, assets we create, repositories, backups, or exports — to you or to anyone else, at any time and for any reason, and we will not do so. This applies however your subscription ends: whether you cancel, we terminate your access, or we stop offering the Service. Nothing in these Terms requires us to provide an export, a migration path, or assistance in moving your site to another host or provider, and no payment or fee entitles you to one. You keep your domain and Your Content; you do not keep the site we built to display them. If this matters to you, please do not subscribe.

We may reuse general know-how, templates, components, and non-client-specific techniques across customers. We may showcase redesigns and demo sites we've produced as examples of our work unless you ask us not to.

8. Acceptable use

You agree not to use the Service to:

• Publish content that is unlawful, infringing, deceptive, or that you don't have the rights to.
• Host malware, phishing, adult content, or content promoting violence, hate, or illegal activity.
• Violate others' intellectual property, privacy, or other rights.
• Interfere with, overload, or attempt to gain unauthorized access to the Service or its infrastructure.
• Resell or provide the Service to third parties except for the site we build and host for you.
• Misuse the editor or automated tools to generate abusive, spammy, or prohibited content.

We may remove content or suspend or terminate accounts that violate these Terms or that create legal or security risk.

9. Third-party services

The Service relies on third parties — including Google Firebase (authentication), Stripe (payments), Anthropic (AI processing), and Cloudflare and Railway (hosting and delivery). Your use of the Service may be subject to their terms, and we're not responsible for third-party services outside our control. If your site connects to other services (for example, a domain registrar or an analytics tool), those are governed by their own terms.

10. Domains

If you use your own domain with the Service, you're responsible for owning and maintaining it and for configuring it as instructed. You're responsible for your domain registration and any related fees. We're not responsible for outages or issues caused by your domain provider or DNS configuration.

11. Intellectual property in the Service

The Service itself — our software, platform, brand, and the Rooga name and logo — is owned by us and protected by intellectual property laws. These Terms don't grant you any rights to our brand or platform except the right to use the Service as intended.

12. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or secure, that any redesign will achieve specific business, traffic, ranking, or conversion results, or that hosted sites will always be available. You use the Service at your own risk.

13. Limitation of liability

To the maximum extent permitted by law, Rooga and its owners, employees, and suppliers won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three (3) months before the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless Rooga from claims, damages, losses, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

15. Suspension & termination

You can stop using the Service at any time by cancelling. We may suspend or terminate your access if you breach these Terms, fail to pay, or create legal or security risk, or if we stop offering the Service. On termination, your right to use the Service ends and we may take your hosted site offline. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

16. Changes to these terms

We may update these Terms from time to time. When we make material changes, we'll update the date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.

17. Governing law & disputes

These Terms are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-law rules. You agree to resolve disputes with us individually, and the courts located in Delaware will have jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.
